There May Be Three Different Ways to Set Up a Company in Ras Al Khaimah

If you are considering setting up a company in Ras Al Khaimah, you may generally come across three different structures:
- RAKEZ Free Zone Company
You can establish a Free Zone company and conduct international or certain commercial activities through Ras Al Khaimah.
- RAKEZ Non-Free Zone Structure
Depending on your business model and your needs within the UAE, there are company options that can be considered outside the Free Zone framework.
- RAK ICC International Company
This is a separate corporate registry system that may be considered mainly for international corporate structuring, holding activities, asset ownership, or similar purposes. These three structures are not the same.
That is why, when you say, “I want to set up a company in Ras Al Khaimah,” the first question we ask is: Where will you use the company?
RAKEZ Free Zone Company Formation
One of the most commonly considered options for Ras Al Khaimah company formation is the RAKEZ Free Zone structure.
RAKEZ states that foreign investors can have 100% ownership of their Free Zone companies without the need for a local partner. Company structures available in the Free Zone include Free Zone Limited Liability Company (FZ-LLC) and suitable branch models.
This structure may be considered particularly by;
international service providers,
e-commerce businesses,

trading companies,
digital businesses,

However, RAKEZ is not designed only for service companies.

Which License Do You Need?

Depending on the business model, RAKEZ may offer different licensing options such as;
Commercial, Service, E-commerce, General Trading, Industrial, Educational, Media, and licenses for professional activities.

International Company Formation with RAK ICC
One of the important structures that distinguishes Ras Al Khaimah from some other UAE locations is the RAK International Corporate Centre – RAK ICC.
RAK ICC is the official corporate registry in Ras Al Khaimah where International Business Companies are registered. The current structure was created by combining the former RAK International Companies and RAK Offshore registries. It should not be confused with a Free Zone company.
RAK ICC companies have a different purpose and incorporation model. For example, they may be considered for international holding structures, holding certain investments or subsidiaries, or other cross-border corporate requirements. However, those wishing to establish a RAK ICC company generally need to proceed through a Registered Agent rather than applying directly to the registry themselves.
The official RAK ICC formation procedure also shows that the first step is to work with a Registered Agent, followed by the preparation of documents and submission of the incorporation application.
Therefore, this process differs from a standard commercial license package.
If You Are Searching for a “RAK Offshore Company,” Let’s First Clarify What You Actually Need
Searches for “RAK offshore company formation” are still common on Google.
This term originates from the former offshore company structures in Ras Al Khaimah. Today, the international corporate registry operates through RAK ICC.
For this reason, it is important to review the current structure before planning a new company based on information found in older sources.
Our goal is not to make a quick sale simply by using the word “offshore.”
The real question is:
Do you want an international company, or do you want a company that will actively conduct business within the UAE?
These two objectives may lead to completely different company structures.
You Do Not Need to Live in Dubai to Set Up a Company in Ras Al Khaimah

In certain structures, there may even be solutions that allow Free Zone and Mainland activities to be planned together.
The Dual Licence model developed between RAKEZ and the Ras Al Khaimah Department of Economic Development may allow eligible RAKEZ companies, under certain conditions, to operate on the Mainland through a branch license without establishing an additional Mainland facility.
However, this is not an automatic right for every company.
It must be assessed separately based on your business activity.
Do You Really Need a Physical Office?
One of the most practical advantages of Ras Al Khaimah, in our view, is the availability of different physical workspace models for businesses of various sizes. Not every entrepreneur needs a large office from day one. Your business may operate entirely remotely. You may only need a company license and a small workspace. Or you may be planning to establish a production facility with dozens of employees.
RAKEZ offers different options based on these needs, ranging from coworking spaces and commercial offices to industrial facilities. For example, the RAKEZ Compass Coworking Centre offers workspace models that may include a company license and, under eligible packages, the right to apply for a UAE Residence Visa.
That is why we do not want to automatically tell you:
“You need to rent an office.”
or
“You do not need an office at all.”
It makes more sense to plan only as much space as your company actually needs.
Can You Obtain a UAE Residence Visa Through a Ras Al Khaimah Company?
For some people considering setting up a company in Ras Al Khaimah, the goal is not only to conduct business. You may also want to live in the UAE or explore investor or employee visa options through your company.
Visa eligibility in Free Zone company packages may vary depending on the company structure, facility used, and selected package. Some RAKEZ coworking company packages may offer eligibility for between one and four UAE Residence Visas.

or
“I am planning both a company and residency.”
Because the most suitable package may be different in each scenario.
We Do Not Reduce the Tax Discussion to a “0% Tax” Headline
Ras Al Khaimah companies are subject to the current corporate tax system of the United Arab Emirates.
Especially for Free Zone companies, the statement frequently seen online:
“If you set up a RAK company, you will not pay tax.”
can be misleading.
Under the UAE Free Zone corporate tax regime, companies that meet the required conditions and qualify as a Qualifying Free Zone Person may benefit from a 0% corporate tax rate on Qualifying Income. Taxable income that does not qualify may be subject to a 9% rate.
Moreover, simply establishing a company in a Free Zone is not enough to qualify as a Qualifying Free Zone Person.
The company must maintain sufficient economic substance in the UAE, earn qualifying income, and meet certain requirements, including transfer pricing rules.
The Federal Tax Authority also clearly states that Free Zone companies are subject to corporate tax registration obligations.
That is why we approach tax planning based on the company’s actual activities, not slogans.
How Is the Cost of Setting Up a Company in Ras Al Khaimah Determined?

That is because even the term “Ras Al Khaimah company” does not refer to just one type of product.

- whether RAK ICC is selected,

Three months later, you need a visa, but the package you selected does not support it. Six months later, you start selling a different product and realize that your license needs to be changed.
